Prospectus and listing particulars are documents which set out details of a company and its intention to offer its shares to the public.

The contents of these documents are governed by the Stock Exchange if the sale of shares is to be offered to the general public. Copies of these documents must be sent to Companies House for their records. Although the law stipulates that only one copy is required, it is advisable that two copies are sent so that one is available to the general public.

It is sometimes the case that amendments are made to the original listing documents to provide current information not previously available or to correct reported errors. In these circumstances copies of these amendments should be sent to the Registrar.
