Dormant companies still have reporting requirements to Companies House.
The essential information which the Registrar of Companies will require is:
- where the company's registered office address
- details of the company directors
- details of the members
- location of statutory books.
- the company's accounting year start and finish date
- yearly balance sheet.
- the company's constitution
- annual return
Dormant company shareholders are those persons who hold shares in the entity.
Their details would be included in the shareholders register. In the case of
companies limited by guarantee, the persons who have stated that they will
provide some funds in the event that the company went in to liquidation are
deemed to be members.
One of the registers a company must keep is the debenture holder record. All the
registers held by the dormant company must be kept in a location where both
shareholders and members of the general public can view them. That location must
be made available to Companies House.
The list of company registers which are generally kept are:
- register of people holding debentures in the company
- officers of the company i.e. directors and secretaries
- shareholder record for public limited companies
- director's shareholdings in the capital of the company
- members register
- register of company charges.
The general public has the right to inspect the above documents on payment of
an administration fee.
